At Secretary & Associate, we offer comprehensive business registration and licensing services to help you navigate the legal and regulatory landscape in Ghana. From registering your business with the Registrar General’s Department to obtaining all necessary industry-specific licenses and permits, our team ensures that your company remains in good standing with all regulatory authorities. We assist with registering various business types including Private and Public Limited Companies, Unlimited Liability Companies, External Companies, Companies Limited by Guarantee, Subsidiary Business Names, Partnerships, and Sole Proprietorships. For companies limited by shares—typically formed by two to fifty persons—registration involves purchasing limited liability forms, obtaining consent from a certified auditor, submitting statutory documents, and paying applicable fees including GHS 270 for incorporation, GHS 180 filing fee, and 1% stamp duty on stated capital. Upon approval, the Registrar issues a Certificate of Incorporation and other certified documents. Foreign-owned businesses must meet additional capital requirements—USD 500,000 for service-based businesses and USD 1,000,000 for trading—and pay 1% stamp duty on capital. Joint ventures with foreign participation also require minimum equity contributions and 10% Ghanaian ownership. We guide clients through the entire process, including filling out required forms like Form 3, Taxpayer Registration, Beneficial Ownership (BO) declarations, and consent letters for directors and secretaries.
